1. Purpose & Scope

This Data Processing Agreement ('DPA') is entered into by Fabeke ApS ('Processor') and the entity subscribing to our platform ('Controller') and governs the processing of Personal Data under the customer agreement.

This DPA is designed to meet the requirements of Article 28 of the GDPR, ensuring that all processing activities are performed with adequate safeguards and respect for data privacy.

2. Processor Obligations

The Processor agrees to:

• Process Personal Data only on documented instructions from the Controller, including with respect to transfers of personal data to a third country.

• Ensure that persons authorized to process the personal data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality.

• Implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, in compliance with GDPR Article 32.

3. Sub-processors

Controller grants a general authorization to Processor to engage sub-processors to assist in delivering the services. Processor shall inform Controller of any intended changes concerning the addition or replacement of other processors, giving Controller the opportunity to object.

Processor remains fully liable to Controller for the performance of each sub-processor's obligations.

4. Data Subject Rights Assistance

Taking into account the nature of the processing, Processor shall assist Controller by appropriate technical and organizational measures, insofar as this is possible, for the fulfillment of Controller's obligation to respond to requests for exercising the data subject's rights laid down in Chapter III of the GDPR.

5. Audit & Compliance Rights

Processor shall make available to Controller all information necessary to demonstrate compliance with Processor obligations under GDPR Article 28 and allow for and contribute to audits, including inspections, conducted by Controller or another auditor mandated by Controller.
